Introduction

Thank you for using the Healing Sky platform and the products, services and features we make available to you as part of the platform (collectively, the "Service").

Our Service

The Service allows you to discover, and watch videos and other content, provides a forum for mental health and wellness professionals to connect, inform, and inspire others across the globe, and acts as a distribution platform for original content creators and advertisers, as well as find qualified treatment providers using our Smart Match Filter and Dynamic Directory.

Your Service Provider

The entity providing the Service is Healing Sky INC, a company operating under the laws of Florida, located at 403 SE 1st St., Delray Beach, FL 33483 (referred to as "Healing Sky", "we", "us", or "our"). References to Healing Sky's "Affiliates" in these terms means the other companies within the Delray Center Inc. corporate group (now or in the future).

Applicable Terms

Your use of the Service is subject to these terms, the Healing Sky Community Guidelines and the Policy, Safety, and Copyright Policies which may be updated from time to time (together, this "Agreement"). Your Agreement with us will also include the Advertising on Healing Sky Policies if you provide advertising or sponsorships to the Service or incorporate paid promotions in your content. Any other links or references provided in these terms are for informational use only and are not part of the Agreement.

Please read this Agreement carefully and make sure you understand it. If you do not understand the Agreement, or do not accept any part of it, then you may not use the Service.

Disclaimer of Medical Liability

Healing Sky offers an online platform designed to connect Users with professional health providers and provide information to help Users decide whether to engage a particular Professional or inquire about a particular condition or treatment modality. Healing Sky does not employ or supervise Professional Members and is not responsible for any actions or omissions by Professional Members or Users. Healing Sky is neither a healthcare provider nor a Covered Entity as defined under the Health Insurance Portability and Accountability Act (HIPAA). Healing Sky's responsibility is limited to providing access to the platform, psychoeducational content, and services.

All interactions between Professional Members and Users are solely the responsibility of those parties. Any claims, injuries, illnesses, damages, liabilities, or costs ("claims") arising from your interactions with or visits to a Professional Member are your responsibility, and you agree not to hold Healing Sky liable for such claims or to seek any legal remedy from Healing Sky in relation to them. Healing Sky does not control, verify, or assume responsibility for the Content provided by Professional Members in their Profiles, Live Events, or Content Collection, and Healing Sky disclaims all liability for any clinical or other types of services obtained through the platform. Any clinical or other types of services a User chooses to engage through the site are undertaken at the User's own risk. Nothing stated, posted, or available through the services should be construed as medical practice or the provision of medical care.

The platform is not intended for Users to receive or determine a specific medical diagnosis, including advice about appropriate drugs or treatment for a specific user. Users should disregard any such advice if it is offered through this platform and are advised to exercise care and caution when using the site. In order for a User to receive a specific medical diagnosis and advice about appropriate drugs or treatment, they must consult a licensed healthcare professional who may or may not be found on the Healing Sky platform.

By using this platform, you acknowledge that the services are not a substitute for in-person consultation with a licensed health professional. You should not rely on any information found on this platform to make health or well-being decisions. You should never delay or disregard seeking medical advice from your healthcare professional based on information or advice found on this site.

Any Content or information provided by Professional Members, advertisers, or other Users is presented for general informational purposes and may not be suitable for every individual or predictive of success or outcome. You assume all risk if you choose to rely on any Content found on the site.

Although we take measures to verify information provided by professional health providers, Healing Sky cannot guarantee the authenticity of that information, including Professional Members' credentials, licenses, or other qualifications. We do not recommend or endorse any specific Professional Member and make no warranties regarding the quality of services provided by any listed Professional Member.

No Professional-Patient Relationship

Using information provided through the Services, including but not limited to the "contact a provider" features (e.g. email, or phone), Dynamic Directory or Smart Match filter search function, "messaging" tools, use of the "Sessions" tool, links to external websites, or any assistance we may offer to help you find a suitable professional health provider, does not create a "professional-patient relationship" either with the provider or with Healing Sky. Based on the information acquired through Healing Sky a User may attempt to initiate a "professional-patient relationship" with one or more of the professionals on the platform. The "professional-patient relationship" that is established outside of Healing Sky is governed by the regulating bodies of that professional. The professional will assume all liability for any consequence arising from any "professional-patient relationship" they establish with a client that originated from Healing Sky.

Site Access and Profiles

Users and Professional Members may voluntarily submit information on the Site, authorizing Healing Sky, its staff, agents, and representatives to use and disclose such personal data as described in the Privacy Policy. This information may include personally identifiable details submitted within emails.

If you are a User, you may browse the Site without sharing personal data. However, to contact a Professional Member through the Site, you may need to submit details such as your name, email address and phone number, which will be shared with the selected Professional Member. You will be asked to consent to these Terms before doing so.

Please be aware that if you send a message using Healing Sky's communication form, your message will be transmitted via email, which is not fully secure.

Professional Members agree to work with Healing Sky to create a public profile ("Profile") on the Site, including information such as name, education, and professional background. A Healing Sky representative may assist with setting up and updating Profiles as needed. Professional Profiles must accurately represent the individual Professional Member presented and be timely, reflecting their current services and availability. Each Professional Member is responsible for ensuring their Profile is accurate, complete, and up-to-date.

Professional Members are solely responsible for maintaining the confidentiality of their login credentials. Professional Members must immediately notify us if there is any unauthorized access to their Profile.

Professional Members agree that under no circumstances can their Profile, including access and maintaining thereof be transferred to any other person(s) or organizations without their explicit consent and without informing Healing Sky in advance. Any individual or organization acting on behalf of a Professional Member must obtain clear authorization from the Professional Member before setting up or managing the account. Healing Sky reserves the right to request proof of such authorization.

Healing Sky cannot guarantee a Professional Member's availability. We are not responsible for canceled or unfulfilled appointments, nor for any injury arising from use of the Services. Users are encouraged to verify a Professional Member's credentials, education, licensing, insurance, and other relevant information by contacting licensing boards or relevant associations before selecting a Professional Member. Users understand and agree that, while the Services assist in connecting them with Professional Members, the final decision to engage a Professional Member's services rests with the User, who assumes all risks associated with choosing to engage and use the services of a listed Professional Member.

Healing Sky reserves the right, at its discretion and without prior notice, to remove or disable any Profile, terminate Professional Members' accounts, and limit Site or Service access.

Content

In these Terms, the following defined terms are used to refer to different types of content available on or submitted to the Services:

Users and Professional Members may be able to submit various types of content to the Services, including inquiries related to mental health needs, participation in interactive features of the Services, and updates to Profiles. For purposes of these Terms, Professional Content, Third-Party Content, User Content, and Healing Sky Content are collectively referred to as "Content."

Please be thoughtful and responsible when providing Content to the Services.

Professional Content

Healing Sky encourages participation in the Services to Professional Members who hold active licenses and possess all required certifications necessary to practice in their specialty services offered to Users.

By continuing to use the Services, you represent and warrant that you hold a valid license and/or the required certifications for the jurisdiction in which you provide your services. You are responsible for promptly informing us of any changes to your credentials. You further represent and warrant that your Professional Content is accurate and up-to-date.

Professional Members are subject to the following additional terms regarding Professional Content:

As part of the Services, Healing Sky reserves the right to publish information about a Professional Member's service at its discretion. Healing Sky may determine what information to publish or withhold and may review, edit, suppress, or remove any Professional Content it deems offensive, unlawful, misleading, AI-generated, inaccurate, or in violation of these Terms.

Professional Content is intended for psychoeducational or general informational purposes only. It is both self-reported by the Professional Member and/or gathered from verified third-party sources, with periodic confirmation by the Professional Member. Such information may change over time and could become outdated or inaccurate. Healing Sky is not involved in, nor responsible for, any services provided by the Professional Members.

Professional Members acknowledge that Healing Sky does not control the actions of Users and disclaims any warranties or liability related to User actions, including but not limited to negative feedback, no-shows for appointments, or failure to comply with these Terms. Professional Members agree not to hold Healing Sky responsible for any such actions or inactions by Users.

Content Standards

These content standards apply to User Content and Professional Content. All such content must fully comply with applicable federal, state, local, and international laws and regulations.

Additionally, without limiting these requirements, Content must NOT:

1. Promote, disparage, or otherwise comment on any branded pharmaceutical product unless directly contracted by that pharmaceutical company through the Healing Sky Sponsored Content program. Pharmaceutical products that have expired patents and are available as a generic are not covered by this rule.
2. Promote, disparage, or otherwise comment on any products and services company product, unless directly contracted by a specific products and services company to promote their own product and the content is uploaded directly onto their account by that specific company. Content creators cannot be contracted to promote, disparage, or otherwise comment on any "competing" products from a competing products and services company.
3. Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise inappropriate.
4. Contain any material that is directly or even indirectly political in nature, regardless of political affiliation.
5. Contain any material that is directly or even indirectly tied to any religious or ideological extremism, regardless of the religious or ideological affiliation.
6. Promote sexually explicit or pornographic content, violence, or discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age.
7. Be sexually suggestive, enticing, or potentially exploitative in any way.
8. Infringe on any patent, trademark, trade secret, copyright, or other intellectual property rights of any individual or entity.
9. Violate the rights of others, including rights of privacy and publicity, or include any material that could lead to civil or criminal liability under applicable laws or conflict with these Terms or our Privacy Policy.
10. Copy, replicate, or plagiarize content from other Profiles, websites, or sources.
11. Include AI-generated material (e.g. ChatGPT, Bard, etc.) unless it has been carefully reviewed, fact-checked, and personalized to reflect the provider's unique qualifications and practice.
12. Be made with or use any form of AI filter or other AI enhancement. The image of the provider on the screen must not be altered artificially such that the appearance appears inauthentic or a misrepresentation of the provider. Content creators are encouraged to optimize their appearance through the use of makeup and proper lighting.
13. Promote any AI-related clinical treatment or psychotherapy product. AI-related administrative support for an office, such as AI agents to answer phones, schedule appointments, manage client collections, audit client billing, or explain practice-related services, as well as AI-assisted medical records documentation, is permitted.
14. Promote or support the use or sale of medical marijuana or any marijuana related products, regardless of the legality of medical marijuana in the content creator's state of residence.
15. Intend to mislead or deceive any person, such as inaccurate or exaggerated claims about skills, credentials, appointment types, health insurance coverage, or pricing.
16. Intend to capture inquiries and redirect potential clients to other professionals, clinics, or call centers, whether immediately or after initial contact. This includes, but is not limited to, "bait and switch" tactics, where the Professional Member is unavailable or inaccessible and Client Users are routed elsewhere without prior knowledge or consent.
17. Promote or encourage illegal activity, or advocate or assist in any unlawful conduct.
18. Cause unnecessary distress, embarrassment, or alarm or be likely to inconvenience or upset any other person.
19. Impersonate any individual or misrepresent your identity or affiliation with any person or organization.
20. Promote or otherwise comment on a treatment facility that a given provider is employed by, unless that treatment facility holds an active facility account on Healing Sky.
21. Include unauthorized commercial activities, such as contests, sweepstakes, advertising, or bartering.
22. Create the impression of endorsement or origin by Healing Sky or any other person or organization if such endorsement or origin is not accurate.
23. Contain any material or information that could be stolen, intercepted, or disclosed in an insecure communication, such as email, and that could result in harm or risk to any individual or entity.
24. Promote, disparage, or otherwise comment on another clinical provider, regardless of provider type.

These standards are set to ensure that all content on Healing Sky remains respectful, accurate, and in alignment with the values of our community. Violations result in the deletion of the content in question and potential suspension or expulsion from the Healing Sky platform. Certain violations of these standards may result in reporting to licensure and certification boards, in order to maintain professional standards in the community.

Copyright Infringement

In compliance with Section 512(c) of the U.S. Copyright Act, Healing Sky has registered a Designation of Agent to Receive Notification of Claims of Infringement with the U.S. Copyright Office.

We respect the rights of all copyright holders. If you believe that your work has been copied in a way that constitutes copyright infringement, please submit the following information to our Copyright Agent as required by the Digital Millennium Copyright Act, 17 U.S.C. §512.

Your Responsibilities

1. General Conduct

The Services are provided solely for personal use as described in these Terms, and any other use is strictly prohibited. By using the Services, you agree not to (and not to allow any third party to):

Healing Sky reserves the right to investigate and enforce penalties for any violations to the fullest extent of the law. Healing Sky may access, preserve, and disclose your information if required by law, or if Healing Sky believes, in good faith, that it is reasonably necessary to: (i) respond to legal claims or processes, such as subpoenas or warrants; (ii) enforce or administer agreements with Users or Professional Members, such as these Terms; (iii) support fraud prevention, risk assessment, investigation, customer support, product development, or debugging efforts; or (iv) protect the rights, property, or safety of Healing Sky, its Users, Professional Members, or the public.

You acknowledge that Healing Sky has no obligation to monitor your access to or use of the Site or Services. However, Healing Sky reserves the right to do so to operate and improve the Services (including fraud prevention, risk assessment, investigation, and customer support), to ensure compliance with these Terms, to meet legal requirements, or to address content that Healing Sky deems objectionable in accordance with these Terms.

When using the Services to gather information, find, and engage in communication with Professional Members, you understand that, at Healing Sky's sole discretion:

Each User is solely responsible for selecting their own Professional Member through the Services. Healing Sky does not establish a professional-patient relationship and disclaims all medical liability.

Video Conferencing Tool

Users may be invited by Professional Members to a video conferencing tool through the Site or through an app, ("Dynamic Telemedicine"). Healing Sky is not a healthcare provider, insurance provider, or prescription fulfillment service. Healing Sky's role is limited to providing you with a video conferencing tool and facilitating your access to services provided by independent healthcare professionals. Healing Sky is not liable for any actions or omissions of these Professional Members or for the content of any communications between you and them. Healing Sky does not employ or control the services provided by these Professional Members, even if they utilize the Dynamic Telemedicine tool offered by Healing Sky. By utilizing the Dynamic Telemedicine tool, you agree to release and hold Healing Sky harmless from any liability that may arise from your use of the Services.

Additionally, Healing Sky has no control over and does not assume responsibility for the content, availability, accuracy, quality, security, legality, reliability, privacy policies, or practices of any video conferencing tools provided by third parties. We encourage you to review the terms of service and privacy policies of any third-party providers when using such video conferencing tools.

Pricing and Payment

The estimated price for engaging the services of a Professional Member is displayed in the Professional Member's Profile. These prices are set by the Professional Member and may be updated at their discretion. Healing Sky cannot guarantee precise pricing at any given time.

Most Professional Members pay a directory fee for listing on our platform. This subscription requires a monthly commitment, and Professional Members are responsible for the full term if they choose to cancel before the end of the month. Different types of Professional Members pay different fees based on the Provider Type and account classification.

Professional Subscriptions

This section refers to subscriptions related to Professional Members on the Site.

1. Subscription Terms

By signing up for a subscription with Healing Sky, you agree to the specific terms of your plan, including the duration, billing frequency (e.g. monthly), and any trial periods offered. Unless stated otherwise, all subscriptions are set to automatically renew at the end of each billing cycle. You will be charged at the then-current rate for the renewal period unless you cancel your subscription before the renewal date.

2. Billing and Charges

Healing Sky will charge the payment method you provide at the start of your subscription. Charges will recur based on the selected billing cycle (e.g. monthly). By providing your payment information, you authorize Healing Sky to charge the applicable subscription fees to your payment method at each billing interval until you cancel. You are responsible for keeping your payment information current. Please update your payment details promptly if there are any changes, as we are not responsible for any service interruptions caused by outdated payment information.

Discount codes may be applied to subscriptions if and when available. Discount codes cannot be applied retroactively to past charges. All discount codes have an expiration date and are no longer active past that expiration date.

3. Cancellation Policy

For client users, all subscription, subscription package, and event entry fee purchases are final and nonrefundable. When you cancel a month-to-month subscription, the subscribed content will remain accessible until the end of your monthly billing cycle. When you cancel a subscription package, the subscribed content will remain accessible until the end of your package term.

For all individual clinical providers, treatment centers, group practices, vendors, products and services companies, pharmaceutical companies, and all advertisers, all prepaid directory listing and advertising purchases are final and nonrefundable. When you cancel a month-to-month subscription, the viewable content will remain accessible until the end of your monthly billing cycle. When you cancel renewal on a subscription or advertising package, the viewable content will remain accessible until the end of your package term.

We do not accept pre or post-dated cancellation requests or process partial refunds for month-to-month accounts. If your account has already been billed for the month in which you cancel, your profile will remain live until the end of your monthly billing cycle before it is removed.

Once we receive your cancellation request, we will promptly send an email to confirm (i) that your request has been received and processed, and (ii) at the end of your billing cycle, that your profile has been removed.

5. Data Collection and Use for Subscription Services

We use Stripe as our trusted third-party billing processor to handle all payment transactions. When you provide your credit card information, it is collected and securely stored by Stripe in compliance with industry standards and regulations. Our platform does not store your credit card details directly; instead, we record only your billing preferences in accordance with our privacy policy and rely on Stripe to manage the secure processing and storage of your payment information.

6. HIPAA and Personal Health Information

On the occasions that Healing Sky may store or handle personal health information for Professional Members that are Covered Entities, our compliance obligations as a Business Associate are defined in the Business Associate Agreement, which is incorporated by reference into this agreement. Professional Members must sign the Business Associate Agreement to bind Healing Sky.

Who May Use the Service

Age Requirements

Client Users must be at least 13 years old to use the Service; however, children of all ages may use the Service if enabled by a parent or legal guardian. Providers must be at least 18 years old.

Permission by Parent or Guardian

If you are under 18, you represent that you have your parent or guardian's permission to use the Service. Please have them read this Agreement with you.

If you are a parent or legal guardian of a user under the age of 18, by allowing your child to use the Service, you are subject to the terms of this Agreement and responsible for your child's activity on the Service. You can find tools and resources to help you manage your family's experience on Healing Sky in our help center.

Businesses

If you are using the Service on behalf of a company or organization, you represent that you have authority to act on behalf of that entity, and that such entity accepts this Agreement.

Your Use of the Service

Content on the Service

The content on the Service includes a professional directory, live events, videos, audio (for example professional lectures, meditations, music and other sounds), graphics, photos, text (such as comments and scripts), branding (including trade names, trademarks, service marks, or logos), interactive features, software, metrics, and other materials whether provided by you, Healing Sky or a third-party (collectively, "Content").

Content is the responsibility of the person or entity that provides it to the Service. Healing Sky is under no obligation to host or serve Content. If you see any Content you believe does not comply with this Agreement, including by violating the Healing Sky Community Guidelines or the law, you can report it to Healing Sky Admin.

Your Information

The Healing Sky Privacy Policy explains how we treat your personal data and protect your privacy when you use the Service.

We will process any audio or audiovisual content uploaded by you to the Service in accordance with the Healing Sky Data Processing Terms.

Permissions and Restrictions

You may access and use the Service as made available to you, as long as you comply with this Agreement and applicable law. You may view or listen to Content for your personal, non-commercial use.

The following restrictions apply to your use of the Service. You are not allowed to:

1. Access, reproduce, download, distribute, transmit, broadcast, display, sell, license, alter, modify or otherwise use any part of the Service or any Content except: (a) as expressly authorized by the Service; or (b) with prior written permission from Healing Sky and, if applicable, the respective rights holders.
2. Circumvent, disable, fraudulently engage with, or otherwise interfere with any part of the Service (or attempt to do any of these things), including security-related features or features that (a) prevent or restrict the copying or other use of Content or (b) limit the use of the Service or Content.
3. Access the Service using any automated means (such as robots, botnets or scrapers) except (a) in the case of public search engines, in accordance with Healing Sky's robots.txt file; or (b) with Healing Sky's prior written permission.
4. Collect or harvest any information that might identify a person (for example, usernames or faces), unless permitted by that person or allowed under section (3) above.
5. Use the Service to distribute unsolicited promotional or commercial content or other unwanted or mass solicitations.
6. Cause or encourage any inaccurate measurements of genuine user engagement with the Service, including by paying people or providing them with incentives to increase a video's views, likes, or dislikes, or to increase a channel's subscribers, or otherwise manipulate metrics in any manner.
7. Misuse any reporting, flagging, complaint, dispute, or appeals process, including by making groundless, vexatious, or frivolous submissions.
8. Run contests on or through the Service that do not comply with Healing Sky's contest policies and guidelines.
9. Use the Service to view or listen to Content other than for personal, non-commercial use (for example, you may not publicly screen videos or stream music from the Service).
10. Use the Service to (a) sell any advertising, sponsorships, or promotions placed on, around, or within the Service or Content, other than those allowed in the Advertising on Healing Sky policies (such as compliant product placements); or (b) sell advertising, sponsorships, or promotions on any page of any website or application that only contains Content from the Service or where Content from the Service is the primary basis for such sales.

Reservation

Using the Service does not give you ownership of or rights to any aspect of the Service, including user names or any other Content posted by others or Healing Sky.

Develop, Improve and Update the Service

Healing Sky is constantly changing and improving the Service. As part of this continual evolution, we may make modifications or changes (to all or part of the Service) such as adding or removing features and functionalities, offering new digital content or services or discontinuing old ones. We may also need to alter or discontinue the Service, or any part of it, in order to make performance or security improvements, make changes to comply with law, or prevent illegal activities on or abuse of our systems. These changes may affect all users, some users or even an individual user. When the Service requires or includes downloadable software, that software may update automatically on your device once a new version or feature is available, subject to your device settings. If we make material changes that negatively impact your use of the Service, we'll provide you with reasonable advance notice, except in urgent situations such as preventing abuse, responding to legal requirements, or addressing security and operability issues.

Your Content and Conduct

Uploading Content

If you have a Healing Sky account, you may be able to upload Content to the Service. You may use your Content to promote your business or clinical enterprise. If you choose to upload Content, you must not submit to the Service any Content that does not comply with this Agreement (including the Healing Sky Community Guidelines) or the law. For example, the Content you submit must not include third-party intellectual property (such as copyrighted material) unless you have permission from that party or are otherwise legally entitled to do so. You are legally responsible for the Content you submit to the Service. We may use automated systems that analyze your Content to help detect infringement and abuse, such as spam, malware, and illegal content.

Rights You Grant

You retain ownership rights in your Content. However, we do require you to grant certain rights to Healing Sky and other users of the Service, as described below.

License to Healing Sky

By providing, submitting, uploading, embedding, linking, tagging, or otherwise making available any Content to or through the Service — and, with respect to Professional Members, by accepting these Terms — you grant Healing Sky and its Affiliates, successors, and assigns a worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable, and transferable license to host, store, cache, reproduce, distribute, modify, adapt, edit, translate, create derivative works of, publicly display, publicly perform, broadcast, stream, transmit, and otherwise use the Content, in whole or in part, in any and all media now known or later developed.

This license is granted for the following purposes:

You acknowledge that this license is granted to enable Healing Sky to operate, market, and grow the Service, including by increasing the visibility of Professional Members and platform participation, and that the value of your subscription is materially enhanced by the marketing activities this license enables. This license does not transfer ownership of your Content, and you retain the right to use, license, and exploit your Content independently of the Service.

Off-Platform Content License (Provider-Created Content on Third-Party Platforms)

In addition to the license granted above, each Professional Member grants Healing Sky the following rights with respect to any video, audio, image, written, or other content created, published, posted, distributed, or made publicly available by the Professional Member through any third-party platform, including, without limitation, YouTube, TikTok, Instagram, Facebook, Threads, LinkedIn, X, Twitch, Spotify, Apple Podcasts, Vimeo, Pinterest, Substack, and any successor or comparable platform (collectively, "Off-Platform Content"), where such content depicts, identifies, or references the Professional Member, was produced in or in connection with the Professional Member's clinical or professional capacity, or is otherwise associated with the Professional Member's practice ("Eligible Off-Platform Content"):

Likeness, Name, and Voice

As a material component of the licenses granted in the two preceding sections, each Professional Member grants Healing Sky and its Affiliates the right to use the Professional Member's name, professional credentials, professional title, business or practice name, voice, photograph, video likeness, professional biography, headshot, and quoted statements (collectively, the "Professional Identity") in connection with the Service and the marketing, advertising, and promotion of the Service.

This grant is subject to the following limitations:

The Professional Member waives any right to inspect or approve any specific use of the Professional Identity made under this section, other than as expressly set forth in the "Provider Designation and Opt-Out" subsection above.

License to Other Users

You also grant each other user of the Service a worldwide, non-exclusive, royalty-free license to access your Content through the Service, and to use that Content, including to reproduce, distribute, prepare derivative works, display, and perform it, only as enabled by a feature of the Service (such as video playback or embeds). For clarity, this license does not grant any rights or permissions for a user to make use of your Content independent of the Service.

Duration of License

The licenses granted by you continue for a commercially reasonable period of time after you remove or delete your Content from the Service. You understand and agree, however, that Healing Sky may retain, but not display, distribute, or perform, server copies of your videos that have been removed or deleted.

Right to Monetize

You grant to Healing Sky the right to monetize your Content on the Service (and such monetization may include displaying ads on or within Content or charging users a fee for access). This Agreement does not entitle you to any payments. Starting May 12th, 2026, any payments you may be entitled to receive from Healing Sky under any other agreement between you and Healing Sky (including for example payments under the Healing Sky Provider Program) will be treated as royalties. If required by law, Healing Sky will withhold taxes from such payments.

Subscription Revenue Eligibility (as of 2/21/26)

1. A minimum of 50 content videos, regardless of length, for Level 1. A minimum of 200 content videos, regardless of length, for Level 2. A minimum of 400 content videos, regardless of length, for Level 3.
2. A minimum total of 250 minutes of content, among all of the content videos, for Level 1. A minimum total of 1,000 minutes of content, among all of the content videos, for Level 2. A minimum total of 2,000 minutes of content, among all of the content videos, for Level 3.
3. Healing Sky reserves the right to change the thresholds for both the number of videos and the total minutes of video, with a minimum of 90 days' notification to all content creators. Providers who fail to reach an updated threshold would lose their subscription eligibility and their content would revert to ad-supported status only. The provider will not be entitled to recover any revenue lost due to a change in subscription eligibility thresholds and a failure to comply with the new thresholds.
4. The cost to the User of a Level 1 subscription as of 2/21/26 is set at $12 a month. The cost to the User of a Level 2 subscription as of 2/21/26 is set at $29 a month. The cost to the User of a Level 3 subscription as of 2/21/26 is set at $39 a month. The cost to the User of a Premium subscription as of 2/21/26 is set at $99 a month.
5. Healing Sky reserves the right to change the cost to the User of any of the subscriptions. Any prepaid packages will be honored until they expire.

Standard Revenue Payouts and Platform Fees

1. All revenue derived from Healing Sky is first subject to the 2.9% Stripe service fee.
2. The platform fee for subscription revenue is 28%. The provider/content creator receives 72%.
3. The platform fee for ad revenue is 45%. The provider/content creator receives 55%.
4. The rates for provider revenue gained from views by Premium subscriptions are the same as the ad revenue rate. For example, the amount of ad revenue that would be derived from views of the ads associated with a brief would be equal to the amount of revenue derived when a brief is viewed by a client user with a Premium membership. The same applies to mid, detailed, and comprehensive content items.
5. Certain provider types are enabled to receive donations, such as religious institutions, religious clergy, self-help meeting facilitators, and non-clinical service-providing non-profit organizations. Donation revenue is subject only to the 2.9% Stripe service fee. Donation revenue for these eligible provider types is not subject to platform fees.
6. Products and services companies, and pharmaceutical companies, are not eligible for subscription revenue, ad revenue, or event revenue. Other provider types have the option of non-participation in subscription revenue, ad revenue, and event revenue.

Live Events and Live Event Revenue

1. With the exception of products and services companies, pharmaceutical companies, religious services, and self-help meetings, all other live events have a minimum entry fee. The minimum entry fee is set by Healing Sky and is subject to change. The provider can set a higher entry fee, although this should be balanced with the effects on attendance and the total revenue derived from the event.
2. Live event entry to events put on by a given provider is included in the subscription for Users who are subscribers of that provider.
3. Live event entry fees are reduced by 50% for Users who have Premium subscriptions.

Waiting Room Content Revenue

1. All telemedicine appointments, self-help meetings, and live events have waiting rooms where attendees will wait prior to the start of the appointment, meeting, or live event. While waiting, attendees will be able to view both ads and content.
2. Telemedicine and live event waiting room content will preferentially be from the host provider. If the host provider has no content then it will be derived from a similar provider type and category.
3. Self-help meeting waiting room content will be derived from a similar category, as many self-help meeting hosts are not eligible for content creation.

Removing Your Content

You may remove your Content from the Service at any time. You also have the option to make a copy of your Content before removing it. You must remove your Content if you no longer have the rights required by these terms.

Removal of Content By Healing Sky

If any of your Content (1) is in breach of this Agreement or (2) may cause harm to Healing Sky, our client users, or third parties, we reserve the right to remove or take down some or all of such Content in our discretion. We will notify you with the reason for our action unless we reasonably believe that to do so: (a) would breach the law or the direction of a legal enforcement authority or would otherwise risk legal liability for Healing Sky or our Affiliates; (b) would compromise an investigation or the integrity or operation of the Service; or (c) would cause harm to any user, other third party, Healing Sky or our Affiliates.

Community Guidelines Faults

Healing Sky operates a system of "faults" in respect of Content that violates the Healing Sky Community Guidelines. Each fault comes with varying restrictions and may result in the permanent removal of your account from Healing Sky. If you believe that a fault has been issued in error, you may appeal by contacting Healing Sky Admin.

If your account has been restricted due to a fault, you must not use another account to circumvent these restrictions. Violation of this prohibition is a material breach of this Agreement and Healing Sky reserves the right to terminate your Healing Sky account or your access to all or part of the Service.

Copyright Protection

We provide information to help copyright holders manage their intellectual property online. If you believe your copyright has been infringed on the Service, please contact Healing Sky Admin.

We respond to notices of alleged copyright infringement according to the process in our Healing Sky Copyright Center, where you can also find information about how to resolve a copyright strike. Healing Sky's policies provide for the termination, in appropriate circumstances, of repeat infringers' access to the Service.

Account Suspension and Termination

Terminations by You

You may stop using the Service at any time by closing your Healing Sky account and removing your data. You also have the option to download a copy of your data first.

Terminations and Suspensions by Healing Sky

Healing Sky reserves the right to suspend or terminate your Healing Sky account or your access to all or part of the Service if (a) you materially or repeatedly breach this Agreement; (b) we are required to do so to comply with a legal requirement or a court order; or (c) we reasonably believe that there has been conduct that creates (or could create) liability or harm to any user, other third party, Healing Sky or our Affiliates.

Notice for Termination or Suspension

We will notify you with the reason for termination or suspension by Healing Sky unless we reasonably believe that to do so: (a) would violate the law or the direction of a legal enforcement authority; (b) would compromise an investigation; (c) would compromise the integrity, operation or security of the Service; or (d) would cause harm to any user, other third party, Healing Sky or our Affiliates.

Effect of Account Suspension or Termination

If your Healing Sky account is terminated or your access to the Service is restricted, you may continue using certain aspects of the Service (such as viewing only) without an account, and this Agreement will continue to apply to such use. If you believe that the termination or suspension has been made in error, you can appeal by contacting Healing Sky Admin.

About Software in the Service

Downloadable Software

When the Service requires or includes downloadable software, unless that software is governed by additional terms which provide a license, Healing Sky gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software provided to you by Healing Sky as part of the Service. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Service as provided by Healing Sky, in the manner permitted by this Agreement. You are not allowed to copy, modify, distribute, sell, or lease any part of the software, or to reverse-engineer or attempt to extract the source code of that software, unless laws prohibit these restrictions or you have Healing Sky's written permission.

Open Source

Some software used in our Service may be offered under an open source license that we make available to you. There may be provisions in an open source license that expressly override some of these terms, so please be sure to read those licenses.

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Healing Sky, its Affiliates, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of this Agreement; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party. This defense and indemnification obligation will survive this Agreement and your use of the Service.

Third-Party Links

The Service may contain links to third-party websites and online services that are not owned or controlled by Healing Sky. Healing Sky has no control over, and assumes no responsibility for, such websites and online services. Be aware when you leave the Service; we suggest you read the terms and privacy policy of each third-party website and online service that you visit.

About this Agreement

Changing this Agreement

We may change this Agreement, for example, (1) to reflect changes to our Service or how we do business, for example when we add new products or features or remove old ones, (2) for legal, regulatory, or security reasons, or (3) to prevent abuse or harm.

If we materially change this Agreement, we'll provide you with reasonable advance notice and the opportunity to review the changes, except (1) when we launch a new product or feature, or (2) in urgent situations, such as preventing ongoing abuse or responding to legal requirements. If you do not agree to the new terms, you should remove any Content you uploaded and stop using the Service.

Continuation of this Agreement

If your use of the Service ends, the following terms of this Agreement will continue to apply to you: "Other Legal Terms", "About This Agreement", and the licenses granted by you will continue as described under "Duration of License".

Severance

If it turns out that a particular term of this Agreement is not enforceable for any reason, this will not affect any other terms.

No Waiver

If you fail to comply with this Agreement and we do not take immediate action, this does not mean that we are giving up any rights that we may have (such as the right to take action in the future).

Interpretation

In these terms, "include" or "including" means "including but not limited to," and any examples we give are for illustrative purposes.

Governing Law

All claims arising out of or relating to these terms or the Service will be governed by Florida law and will be litigated exclusively in the federal or state courts of Palm Beach County, Florida, USA. You and Healing Sky consent to personal jurisdiction in those courts.
